Good 4 The Hood Terms & Conditions

1. This competition will be governed by these terms and conditions and entrants agree that they have read and understood these terms and conditions and will be bound by them.

2. For the avoidance of doubt, submission of content and use of the Good 4 the Hood website will also be subject to any terms and conditions which you accept to be bound by as part of the registration process for use of this website.

3. Entrants may enter the competition by submitting details of activities they are involved in which benefit their local community online at URL www.mtv.co.uk/good4thehood (the “Website”). Entries can be in any form such as text, still images, audio and video. Costs to enter the competition via the Internet may vary so please check with your network operator for current charges. Entrants should seek the permission of the person paying the bill before entering.

4. Entries must be original to the entrant and must not contain any material in which any third party has any rights, such as samples from any commercial music.

5. Entrants can submit only one (1) entry.

6. The closing date for entries is 11:59 pm on 12 July 2009.

7. This competition is open to residents of the UK only, aged twenty five (25) and under, excluding employees and immediate relatives of employees of MTV Networks Europe (the “Promoter”) and/or The Home Office or of any respective parents, subsidiaries or affiliated companies or any other person professionally connected with this competition.

8. Entries must include name, age, address (including postcode) and the telephone number of the entrant.

9. A shortlist of entries will be selected by the Promoter by 13 July 2009. Shortlisted entrants (the “Finalists”) will be notified by telephone or email by 14 July 2009. Details of the shortlisted entries will also be posted on the Website.

10. The Promoter will make a promotional spot about the Competition and as part of this may include details of entries received and / or footage of the Finalists filmed by the Promoter (the “Voting Spot”). The Voting Spot will encourage viewers to go to the Website and vote for their favourite shortlisted entry. The Voting Spot will be shown on the Website and/or on the Promoter’s television channels.

11. If selected as a Finalist, entrants may be required to attend the Promoter’s London studio on or about 15 July 2009 at times to be agreed with the Promoter to be filmed for the Voting Spot. Finalists must be available on this day and will be responsible for any costs incurred in travelling to the Promoter’s London studio to film the Voting Spot. Finalists who are enrolled at school will need to obtain permission from their head teacher to be absent from school on this date. If a Finalist is under eighteen (18), they must be accompanied by a parent or legal guardian.

12. The Website will invite visitors to vote for their favourite shortlisted entry. Voting will take place between 3 August 2009 and 11:59pm 12 August 2009. The winner of the competition will be the Finalist whose entry receives the most votes during the voting period.

The prize

13. The prize is for the winner to be filmed by the Promoter in the winner’s local community. At its discretion, the Promoter may also allow other people who are involved in the community activity described in the winner’s entry (the “Guests”) to be part of this film. From the Footage (as defined in clause 23 below), the Promoter will make up to four (4) shows of approximately three (3) minutes’ duration documenting what the winner is doing for his / her local community (the “Shows”). The winner and his / her Guests must consent to, and be available for, filming on various days between 24 August 2009 and 30 August 2009 inclusive, at times to be agreed with the Promoter.

14. The Promoter intends to broadcast the Shows on its MTV branded channels in the UK from 14 September 2009 to 18 October 2009 and to display the Shows on the Website. The Promoter also intends to display the Shows at a “Good 4 the Hood” launch event (the “Event”) to be held in London during the week commencing 31 August 2009.

15. The winner and up to 10 of his or her Guests will be invited to attend (the “Event”). As such, entrants must be available to attend the Event, should they be selected as the winner. The winner will be notified of the exact date and venue of the Event by 31 August 2009. For the avoidance of doubt, if the winner is under eighteen (18) years, he or she must be accompanied to the Event by a parent or legal guardian.

16. For the avoidance of doubt, the prize does not consist of anything other than expressly set out in paragraphs 13 to 15 above and no additional costs (including, without limitation, spending money) are included.

17. Due to the very tight production deadlines, the Promoter may contact entrants prior to the closing date in order to obtain further information and/or confirm that they are still available to participate in the Voting Spots and the Shows (if selected). However, being contacted by the Promoter at any stage during the competition does not mean that any contacted entrant will be chosen as a Finalist or as the winner.

18. In respect of all entrants under the age of 18, the prize is subject to the applicable winner first printing off these terms and conditions, obtaining the relevant signatures from their parent or legal guardian and sending the signed document to Good 4 The Hood, MTV Networks Europe, c/o Viacom Brand Solutions Limited, 2nd Floor UK House, 180 Oxford Street, London, W1D 1DS.

19. The winner and their Guests are responsible for all applicable taxes and expenses not specified in the prize description.

20. The winner will be notified by telephone within 5 days of closing of the voting.

21. In the event that the Promoter cannot for any reason contact the winner within 24 hours of the Promoter’s first attempt to contact them, the Promoter reserves the right to select as the winner the entrant who came next in the voting.

22. The Promoter’s decision is final with respect to any aspect of the competition. No correspondence will be entered into.

23. Entrants agree that the Promoter and the Home Office may use the entrant’s entry, name and/or likeness, voice, photographs and/or video footage of the entrant, biographical information provided by the entrants and/or any statement made by them concerning the competition and/or the prize(s) in connection with publicising the competition or for any other purpose, in any and all media in perpetuity throughout the world as the Promoter or the Home Office see fit.

24. In particular, by entering the competition all entrants grant to the Promoter in perpetuity a non-exclusive, worldwide, irrevocable, sub-licensable right to use any materials submitted by entrants in connection with this competition (the “Submitted Material”) as follows (and without payment to the entrant or to any third party):

• to play, publish, make available to the public, perform, display, reproduce, distribute and otherwise use the Submitted Material in any and all media (whether now known or invented in the future) worldwide;

• to host, store, copy, modify, adapt, edit, translate, create derivative works from, incorporate into other works and/or otherwise treat the Submitted Material in any way at their discretion;

• to sub-license their rights in the Submitted Material to third parties (including, for the avoidance of doubt, the Home Office other third parties such as internet service providers, mobile network operators, sponsors, television broadcasters, website owners) in the normal course of their business.

25. Entrants undertake that:

• they are the only creator, author and owner of the Submitted Material or, if they are not the exclusive owner, that they have received written consent from the owner to submit the material and to grant to the Promoter the rights to use and to sub-license the Submitted Material as set out above;

• the use of Submitted Material by the Promoter and/or the Home Office and/or any other sub-licensee will not infringe any intellectual property or other rights of any third party (for example trade marks, copyright, privacy rights etc). Entrants whose Submitted Material contains any underlying copyrights such as music, lyrics, film footage, artwork or other copyright material owned by any other person, confirm that they have obtained all necessary consents in writing necessary for the Promoter and/or any other sub-licensee to use the Submitted Material as set out above;

• the Submitted Material does not contain anything that is defamatory, offensive or illegal;

• the Submitted Material is free from any right or claim by anyone under any recording contract, publishing contract, or any union, guild or collecting society such as, but not limited to, the Performing Right Society. Entrants agree to inform the Promoter immediately if this status changes; and

• they have not taken part in any public performances in connection with which a charge is made (e.g. theatre performances (excluding school productions)) and/or broadcast performances (e.g. television commercials) during the past six (6) months.

26. By entering this competition, all entrants hereby grant the Promoter the right to film, tape, sound record and photograph all their activities in connection with the competition and (if applicable) any prizes. Everything filmed, taped or recorded by the Promoter shall be known as “Footage”.

27. All entrants hereby irrevocably and unconditionally assign to the Promoter with full title guarantee (and by way of present assignment of present and future rights) all intellectual property rights in any Footage throughout the world for the full unexpired period of such rights and all renewals, reversions and extensions of such period as may be provided under any applicable law throughout the world.

28. All entrants hereby irrevocably and unconditionally waive in favour of the Promoter, the Promoter’s affiliates and their licensees, assigns and successors in title, all moral or like rights in any Footage or Submitted Material to which he or she is, or may at any time in the future be, entitled, or where such waiver is not possible, entrants agree not to assert such rights for the purposes of it being used in accordance with these terms and conditions. Moral rights include the right to be identified as the author and the right to object to derogatory treatment of any Submitted Material and/or Footage.

29. The Promoter reserves the right to select an alternative winner in the event that the Promoter has reasonable grounds for believing that the selected winner has contravened any of these terms and conditions.

30. The winner may be required to provide a written acknowledgement of acceptance of all terms and conditions of the competition along with a parent’s or legal guardian’s signature prior to receiving their prize.

31. The Promoter can accept no responsibility for entries lost, delayed, misdirected, damaged or undelivered. Incomplete and/or illegible entries will be disqualified. The Promoter shall not be responsible for technical errors in telecommunications networks, Internet access or otherwise preventing entry to any competition.

32. The prize is stated and is non-transferable. No cash alternatives will be offered. If due to circumstances beyond the Promoter’s control the Promoter is unable to provide the prize or any part of it, the Promoter reserves the right to award a substitute prize of equal value.

33. No purchase necessary.

34. The Promoter shall not be liable to the winner and/or any Guests and/or parents/legal guardians for any loss or damage howsoever caused (whether in contract, tort or statutory duty or otherwise) arising out of or in connection with the competition and/or prize other than death or personal injury caused by negligence of the Promoter and/or the Promoter’s personnel and/or deceit or fraud by Promoter and/or Promoter’s personnel.

35. The Promoter shall not be liable for any delay in performing or partial or total failure to perform any of its obligations to the winner and/or any Guests and/or parents/legal guardians under these terms and conditions if such delay or failure is caused by circumstances beyond its reasonable control including without limitation delays, changes, disruptions, cancellations, diversions or substitutions howsoever caused including without limitation as a result of war, terrorist action or threatened terrorist action, strikes, hostilities, civil commotions, accidents, fire, flood or natural catastrophes or arising without limitation out of or in connection with (i) the activities of third party event organisers; (ii) any form of transportation (including but not limited to flights, trains, coaches, buses, ferries, taxis or cars); and/or (iii) by third parties providing accommodation included in the prize. For the avoidance of doubt, the affected winner and/or any Guests and/or parents/legal guardians shall be solely liable for any additional costs incurred as a result.

36. Details of the winner can be obtained by sending a stamped, self-addressed envelope to Good 4 the Hood Competition, MTV Networks Europe, c/o Viacom Brand Solutions, 2nd Floor UK House, 180 Oxford Street, London W1D 1DS, for one (1) month after the competition closes.

37. Any personal information, including without limitation, the entrant's name, age, address (including postcode), telephone number and/or email address will be used solely in connection with this competition and for any purpose for which the entrant specifically opts in and will not be disclosed to any third party except for (a) the purpose of fulfilling the prize(s) where applicable and (b) for any purpose for which the entrant specifically opts in. Any personal information held by the Promoter in respect of any competition will be held on record for a reasonable period to fulfil the purpose for which such personal information was collected. If an entrant gives the Promoter permission to pass on their personal information to a third party then this shall no longer be the responsibility of the Promoter and shall be subject to the privacy policy of that third party.

38. All entrants agree to be bound by these terms and conditions, which may be amended or varied at any time by the Promoter on notice.

39. These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales and the courts of England shall have exclusive jurisdiction in relation to any disputes arising therefrom.

I understand that MTV Networks Europe wishes to enter into these Good 4 the Hood terms and conditions with the Entrant named above. I hereby confirm that:

1. I am the parent or legal guardian of, and have parental responsibility for, the Entrant, who lives with me at the above address;

2. The Entrant submitted details of activities in which he or she is involved which benefit the local community as part of his or her entry in the Good 4 the Hood Competition (the “Competition”) run by MTV Networks Europe (the “Promoter”) (the “Entry”).

3. I understand that if the Entrant is chosen by the Promoter as a finalist, the Promoter may want to include details of the Entry and/or footage of the Entrant recorded by the Promoter at the Promoter’s recording studio in London on 15 July 2009 in a promotional spot about the Competition (the “Voting Spot”). I also confirm that I consent to, and will arrange for the Entrant to attend the Promoter’s recording studio on this day (if requested by the Promoter) and that the Entrant will be accompanied by a parent or legal guardian.

4. I also understand that if my child is selected as the winner, the Promoter will want to film my child in his or her local community on various days between 24 August 2009 and 30 August 2009 inclusive and from this footage make up to four (4) shows of approximately three (3) minutes’ duration documenting what the winner is doing for his / her local community (the “Shows”). I also confirm that I consent to, and will liaise with the Promoter in relation to, the filming of my child during these dates. I understand that the Promoter intends to broadcast the Shows on its MTV branded channels in the UK from 14 September 2009 to 18 October 2009 and to display the Shows on the Good 4 the Hood website. I also understand that the Promoter also intends to display the Shows at a “Good 4 the Hood” launch event.

5. As parent/legal guardian of the Entrant, I agree that in accepting these Good 4 the Hood terms and conditions, my child irrevocably and unconditionally assigns to the Promoter with full title guarantee (and by way of present assignment of present and future rights) all intellectual property rights in any everything filmed, taped or recorded by the Promoter (“Footage”) throughout the world for the full unexpired period of such rights and all renewals, reversions and extensions of such period as may be provided under any applicable law throughout the world.

6. I also agree that my child hereby irrevocably and unconditionally waives in favour of the Promoter, the Promoter’s affiliates and their licensees, assigns and successors in title, all moral or like rights in any Footage or my child’s Entry to which he or she is, or may at any time in the future be, entitled, or where such waiver is not possible, I agree that my child will not assert such rights for the purposes of it being used in accordance with these terms and conditions. Moral rights include the right to be identified as the author and the right to object to derogatory treatment of the Entry and/or Footage.

7. As parent/legal guardian of the Entrant, I agree that if my child is selected as a finalist or if my child is selected as the winner, the Promoter and the Home Office may use or sub-licence the right to use my child’s Entry, the Footage and my child’s name and/or any biographical information provided by my child and/or any statement made by my child concerning the Competition in connection with publicising the Competition or for any other purpose, in any and all media in perpetuity throughout the world as the Promoter and/or the Home Office see fit.

8. I confirm that the Entrant has not taken part in any public performances in connection with which a charge is made (e.g. theatre performances (excluding school productions)) and/or broadcast performances (e.g. television commercials) during the past six (6) months.

9. I have read these Good 4 the Hood Competition Terms and Conditions and have discussed them with the Entrant who understands what is required of them.

10. I hereby consent to the Entrant entering this Good 4 the Hood Competition and receiving the stated prize should they be selected as the winner.
